Notore appoints new company secretary

Notore Chemical Industries Limited has appointed a new company secretary to replace Otivbo Saleh who recently resigned from his position, the fertilizer manufacturer disclosed in a notification to the Nigerian Exchange Limited.

Ms. Saleh, who also served as the company's legal director, left the role after nearly seventeen years of service, the highlight of which was her role as a member of the leadership that transformed the company into a public limited company from a private company in May 2014.

Notore has appointed Matthias Ogwuche, the senior legal director who oversees the company's secretariat and its compliance with regulatory and statutory requirements, to fill the role.

Mr Ogwuche's appointment took effect on 20 August, his predecessor having left office a day earlier.

He is “in charge of organizing the company's committees, boards of directors and annual general meetings.

“He is a consummate professional who is intrigued by using organizational and writing skills to complete tasks before deadlines,” the Onne-based company said in the filing.

“He is exceptionally hard-working and has over the years demonstrated unparalleled professionalism in his chosen practice area, which includes drafting and reviewing legal agreements, competently analyzing legal risks and providing advice that mitigates these risks,” Notore said.

In August 2018, when the company reached the milestone of listing on the Nigerian Stock Exchange, Mr. Ogwuche was a key figure in getting its shares listed on the main board of the exchange, the elite listing segment of the exchange.

When Notore received $37 million from the African Export-Import Bank in December 2019 to carry out maintenance on its fertilizer factory, it oversaw the due diligence and compliance aspects of the agreement.

Nine of his 14 years of experience as a lawyer and legal advisor have been spent in the company's Legal and Governance Services unit.

Mr. Ogwuche obtained a certificate in Company Secretarial Practices and Optimum Productivity from the Institute of Chartered Secretaries and Administrators of Nigeria in 2017 and a Certificate of Assistance in Corporate Governance from the Nigerian Exchange Limited in 2019.
